1. Service Agreement

By engaging VELWIRE LTD for software development, web development, or consulting services, you agree to be bound by these terms and conditions. Specific project deliverables, timelines, and costs will be outlined in a separate Statement of Work (SOW) or contract.

2. Intellectual Property

Upon full payment of all outstanding invoices, the intellectual property rights of the custom software code developed specifically for the client will be transferred to the client, unless otherwise stated in the contract.
VELWIRE LTD retains the rights to any pre-existing code libraries, open-source frameworks, or third-party tools utilized within the project.

3. Project Timelines & Delivery

While we strive to meet all projected deadlines, software development timelines are estimates. Delays caused by scope changes, delayed client feedback, or third-party API changes will extend the delivery date.

4. Warranties & Liability

We warrant that the software will perform substantially in accordance with the agreed-upon specifications for a standard warranty period (usually 30 days post-launch). However, we do not warrant that the software will be entirely bug-free or uninterrupted. In no event shall VELWIRE LTD be liable for indirect, consequential, or business-loss damages.

5. Confidentiality

We understand the sensitive nature of your business logic. Both parties agree to maintain strict confidentiality regarding proprietary information shared during the course of the project. Non-Disclosure Agreements (NDAs) are available upon request.

6. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales.
